Аннотация

Статья посвящена вопросам корпоративного управления в США с акцентом на характеристику ряда правил, которым оно должно подчиняться, в частности, правила «о решении, принятом разумно действующим предпринимателем» («BJR»). Правило «BJR» выступает важнейшей оценочной категорией корпоративного права США, которая применяется в отношении решений директоров в рамках осуществления ими фидуциарных обязанностей, и защищает директоров от ответственности в связи с их действиями по управлению компанией. Актуальность проблематики ответственности директора обусловливает научный и практический интерес к правилу «BJR».
