The main thing from them is independence of existence of the legal entity and his participants, allowing it to enter on its own behalf in civillegal relations, both with the third parties, and with participants. Independent existence of the legal entity assumes existence at it a certain organizational structure and the isolated property, and also its ability to act as the claimant or the respondent and to bear independent property responsibility. Work on standardization of the legal acts concerning enterprise corporations in the USA is caused by a divergence, and also the arisen difficulties for the interstate communication, resulting from distinctions in legal systems of states in this sphere. As large corporations in the USA conduct the business activity in the territory of different states, extending it to all federation, they are interested in streamlining and unification of norms of the enterprise right.Автор статьи приходит к выводу о том, что легального определения юридического лица (корпорации) право США не содержит, устанавливая лишь основные его признаки. Главным из них является независимость существования юридического лица и его участников, позволяющая ему вступать от своего имени в гражданско-правовые отношения как с третьими лицами, так и с самими участниками. По мнению автора статьи, независимое существование юридического лица предполагает наличие у него определенной организационной структуры и обособленного имущества, а также его способности выступать в качестве истца или ответчика и нести самостоятельную имущественную ответственность. В статье сделан вывод о том, что проведение работ по унификации правовых актов, касающихся предпринимательских корпораций в США, вызвано, расхождением, а также возникшими трудностями для межштатного общения, проистекающими из различий в правовых системах штатов в этой сфере.
