It defends directors from the personal liability which run out on the ground of their duties to manage the corporation. The question on directors' liability presents a very actual and interesting issue for the business world and the corporate law in particular, and due to these facts «BJR» renders a great interest for research and practical purposes.</abstract><trans-abstract xml:lang="ru">Статья посвящена вопросам корпоративного управления в США с акцентом на характеристику ряда правил, которым оно должно подчиняться, в частности, правила «о решении, принятом разумно действующим предпринимателем» («BJR»). Правило «BJR» выступает важнейшей оценочной категорией корпоративного права США, которая применяется в отношении решений директоров в рамках осуществления ими фидуциарных обязанностей, и защищает директоров от ответственности в связи с их действиями по управлению компанией.
